Affiliate Terms and Conditions

These Affiliate Terms and Conditions (the “Agreement”) govern the affiliate program (the “Affiliate Program”) that is made available by MB “Zygteka”, doing business as INSPIREZIA (‘Company’, ‘we’, ‘us’, or ‘our’). This Agreement is an additional part of the Terms of Service and represents the whole agreement and understanding between us and the individual or entity who participates in the Affiliate Program (“you”). Please read this Agreement carefully, as it represents a legally binding agreement between you and us. By submitting your application and by your use of the Affiliate Program, you agree to comply with all of the terms and conditions set out in this Agreement.

1. GENERAL

The Affiliate Program allows you to promote our products or services on your site, social media channels, direct sharing, and email newsletters and earn a commission on sales made through your unique link (‘Link’) given by us.

At any time prior to you providing a Link, we may with or without notice change, suspend, remove, alter, modify, or discontinue any aspect of our given Link or other promotional material. You agree to promptly implement any request from us to remove, alter or modify any promotional material being used as a part of the Affiliate Program.

2. YOUR RESPONSIBILITIES

You will link your sites to areas within our site using our special Link (URL) specified in the Affiliate Program. You may post as many Links from your sites to areas within our site as you like. The position, prominence and nature of Links on your site shall comply with any requirements specified in the Affiliate Program, but otherwise will be at the discretion of you.

You agree not to make any representations, warranties or other statements concerning us, our site, any of our products or services, or our site policies, except as expressly authorized by the Affiliate Program, Agreement, or us.

You are responsible for notifying us of any malfunctioning of the Link or other promotional material or other problems with your participation in the Affiliate Program. We will respond promptly to all concerns upon notification by you.

You are responsible and should declare any payout from the Affiliate Program in your annual tax return or as a benefit in kind.

3. COMMISSIONS AND PAYOUTS

Refer any customer to purchase on our site via the Link, and you will get a commission amount calculated based on the commission rate and Affiliate Program details on the Affiliate Program page. The commission amount depends on the order value and does not include extra fees (tax, shipping cost, tips, etc.) and on-sale (discounted) items.

You will become eligible for a payout if it meets all of these criteria:

– Customer purchases a product within 30 days through the Link and has successfully completed the transaction.

– Your account remains active and in good standing.

– The customer payment is not refunded, charged back, or otherwise reversed 30 days or more from the purchase date.

– Our software shows that sales have been made through your Link.

– The minimum threshold of 20 euros (or other currency equivalent) is reached.

The payouts are made through Stripe to the bank account.

We are using reliable third-party software for the Affiliate Program on our website. This software is the only source determining whether sales were made through your Link or not. We are not responsible for any errors in that software and are not liable to pay any commissions if no sales are registered for whatever reason.

The use of the Affiliate Program is subject to a fair use policy and gives us the right to review every order. Transactions that result in chargebacks, refunds, or reprints will not be paid out.

4. CUSTOMERS TRACKING

We are tracking customers who have visited our site using your Link through cookies that expire after 30 days. You will be considered for a payout only if the purchasing customer has the active cookie. You are not authorized to modify or alter the cookies in any way. If a customer clicks on someone else’s Link and then later clicks on your Link, yours is the one that counts. If a customer does not allow cookies or clears their cookies, we can not track them and pay earnings on that customer’s activity.

5. REGISTRATION, USAGE, AND THE LICENSE

We reserve the right to approve or reject any Affiliate Program registration or usage in our sole and absolute discretion for any reason whatsoever. You will have no legal recourse against us for your Affiliate Program registration or usage rejection.

Each party owns and shall retain all right, title and interest in its names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology, including, without limitation, those names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology currently used or which may be developed and/or used by it in the future.

We will grant you a revocable, non-exclusive, worldwide license to use, reproduce and transmit the name, logos, trademarks, service marks, trade dress and proprietary technology, as designated in the Affiliate Program or during the registration in the Affiliate Program solely for the purpose of creating links from your site to our site during Affiliate Program. Except as expressly set forth in this Agreement or permitted by applicable law, you may not copy, distribute, modify, reverse engineer, or create derivative works from the same. You may not sublicense, assign or transfer any such licenses for the use of the same, and any attempt at such sublicense, assignment or transfer is void.

6. MARKETING

You can only promote our products or services in a fair way as they are. You are not allowed to send unwanted and unsolicited messages (spam) on email, SMS, forums, and other people’s websites but not limited to.

When written as a phrase, our site name should be used based on these rules:

INSPIREZIA (all letters are uppercase)

7. OBLIGATIONS

You agree to disclose where exactly your Link are used if we have such an inquiry. You agree to provide us access to any platforms or locations that may be exclusive or not publicly available if your Link is used there.

If we find any misleading, incorrect or false information about our products or services, site, or us, you agree to have a legal obligation to correct this information as soon as possible. You agree to be fully responsible for such obligations and exclude us from any liability for third-party claims we get because of such incorrect information but not limited to.

You are solely responsible and take full responsibility for complying with the rules of the (US) Federal Trade Commission (FTC) and/or the EU Commission.

8. TERMINATION

You may terminate this Agreement at any time by contacting us. Either party may terminate this Agreement at any time, for any reason. Termination of this Agreement shall also terminate any outstanding Affiliate Program. However, all rights to payment, causes of action and any provisions which by their terms are intended to survive termination shall survive termination of this Agreement.

By not respecting the Agreement, you will risk having commissions withheld or being removed from the Affiliate Program. Our objective is to reduce advertising expenses while ensuring the clarity of our brand marketing messages, thereby enabling us to maintain high commission rates.
